{"success":1,"message":"<div class=\"modal-dialog modal-lg\" role=\"document\">\n\t\t    <div class=\"modal-content\">\n\t\t      <div class=\"modal-header\">\n\t\t        <h5 class=\"modal-title\" id=\"modallabel\">Terms and Conditions<\/h5>\n\t\t        <button type=\"button\" class=\"close\" data-dismiss=\"modal\" aria-label=\"Close\">\n\t\t          <span aria-hidden=\"true\">&times;<\/span>\n\t\t        <\/button>\n\t\t      <\/div>\n\t\t\t<div class=\"modal-body\" id=\"termsmodal\">\n\t\t\t\t<div class=\"row\">\n\t\t\t\t\t<div class=\"col-md-12\"><p><strong>ICE MT&nbsp;<\/strong><strong>API<\/strong>&nbsp;<strong>and SDK&nbsp;<\/strong><strong>Consulting Services On-Demand Hours Terms &amp; Conditions<\/strong><\/p>\r\n<p>Effective: June 19, 2019<\/p>\r\n<p>These ICE MT API and SDK Consulting Services On-Demand Hours Terms &amp; Conditions (these &ldquo;<strong>Terms<\/strong>&rdquo;) contain the additional terms and conditions that govern your purchase and use of on-demand hours (&ldquo;<strong>On-Demand Hours<\/strong>&rdquo;) for API and SDK Consulting Services (&ldquo;<strong>API and SDK Consulting Services<\/strong>&rdquo;) and are incorporated into the Encompass&reg; Agreement (&ldquo;<strong>Agreement<\/strong>&rdquo;) between ICE Mortgage Technology, Inc. (&ldquo;<strong>ICE MT<\/strong>,&rdquo; &ldquo;<strong>we<\/strong>,&rdquo; &ldquo;<strong>us<\/strong>,&rdquo; or &ldquo;<strong>our<\/strong>&rdquo;) and Customer (also referred to herein as &ldquo;<strong>you<\/strong>&rdquo; or &ldquo;<strong>your<\/strong>&rdquo;). These Terms take effect when you agree to these Terms upon payment for any On-Demand Hours (&ldquo;<strong>Effective Date<\/strong>&rdquo;). You represent to us that you have validly entered into these Terms and have the legal power to do so.<\/p>\r\n<ol>\r\n<li><strong>Purchase of On-Demand Hours.<\/strong><\/li>\r\n<\/ol>\r\n<p>Your purchase and use of On-Demand Hours for API and SDK Consulting Services will be governed by these Terms and the Agreement. To the extent there is a conflict between the terms of the Agreement and these Terms, these Terms will control. Additional terms may apply to certain API and SDK Consulting Services, and any such additional terms will be made available to you.<\/p>\r\n<p>You may only purchase On-Demand Hours if you are currently subscribed to ICE MT&rsquo;s Encompass&reg; mortgage management solution.<\/p>\r\n<p>On-Demand Hours may only be used for API and SDK Consulting Services and may not be transferred or used for other services offered by ICE MT, including, without limitation, training, custom development or support services.<\/p>\r\n<p>On-Demand Hours may be purchased in 4, 8, 12, 16 and 20 hour increments.&nbsp;<strong>Customer may not use more than 8 On-Demand Hours per week, Monday &ndash; Friday, during normal pacific time zone business hours. All API and SDK Consulting Services will be conducted remotely via web conference sessions and will not be onsite at Customer&rsquo;s location<\/strong>. If Customer requires that API and SDK Consulting Services are performed onsite at Customer&rsquo;s location or otherwise require travel and related incidental expenses, the parties will enter into a SOW for such Services. As such, travel and related incidental expenses are not contemplated under these Terms.<\/p>\r\n<p>Upon purchase of On-Demand Hours, a member of the API and SDK Consulting Services team will contact you to schedule an initial kick-off call to discuss the requested project and appropriate scope of work.&nbsp; On-Demand Hours must be pre-scheduled at least 3 business days prior to use.&nbsp; ICE MT does not guarantee that any project will be completed within the number of On-Demand Hours purchased by you.&nbsp; The API and SDK Consulting Services team will advise Customer when additional On-Demand Hours are required or whether the parties should enter into a SOW based on the project scope and timeline.<\/p>\r\n<ol start=\"2\">\r\n<li><strong>Fees and Payment.<\/strong><\/li>\r\n<\/ol>\r\n<p>You will pay us all applicable fees and charges for On-Demand Hours using a credit card. You must be fully paid prior to use of On-Demand Hours or commencement of API and SDK Consulting Services. Purchases of On-Demand Hours are not confirmed until payment and contact information is received in full.<\/p>\r\n<ol start=\"3\">\r\n<li><strong>Cancellation and Refunds.<\/strong><\/li>\r\n<\/ol>\r\n<p>ICE MT reserves the right to cancel purchased On-Demand Hours for any reason in its sole discretion.&nbsp; In the event of any such cancellation, ICE MT will issue a refund to Customer for pre-paid, unused On-Demand Hours.&nbsp; On-Demand Hours are otherwise non-refundable.<\/p>\r\n<ol start=\"4\">\r\n<li><strong>Expiration of On-Demand Hours.<\/strong><\/li>\r\n<\/ol>\r\n<p>On-Demand Hours will expire sixty (60) days from the date of purchase if not used and Customer will not receive a refund.&nbsp; No exceptions will be made.<\/p>\r\n<p>CUSTOMER ACKNOWLEDGES AND AGREES THAT (A) THE API and SDK Consulting Services ARE INTENDED TO ASSIST CUSTOMER IN UNDERSTANDING PRODUCT FUNCTIONALITY, AND CUSTOMER WILL REMAIN FULLY RESPONSIBLE FOR ENSURING THAT ITS BUSINESS ACTIVITIES COMPLY WITH APPLICABLE LAWS, RULES, AND REGULATIONS; AND (B) THE API AND SDK CONSULTING SERVICES DO NOT INCLUDE OR CONSTITUTE, AND ICE MT IS NOT PROVIDING TO CUSTOMER, ANY LEGAL SERVICES OR ADVICE.&nbsp; CUSTOMER SHOULD CONSULT WITH ITS OWN COMPLIANCE STAFF OR LEGAL COUNSEL TO ENSURE CUSTOMER&rsquo;S COMPLIANCE WITH ALL APPLICABLE LAWS, RULES AND REGULATIONS.<\/p>\r\n<ol start=\"6\">\r\n<li><strong>Customer Participation.<\/strong><\/li>\r\n<\/ol>\r\n<p>Customer agrees to the following obligations which Customer acknowledges are necessary to enable ICE MT to successfully perform and deliver all On-Demand Hours:<\/p>\r\n<ol>\r\n<li>Customer will provide ICE MT with any system access required to perform requested work, including Encompass access and access to any other necessary\/appropriate system environment(s).<\/li>\r\n<\/ol>\r\n<ol>\r\n<li>Customer will assign a primary point of contact with enough experience to interface with ICE MT, provide access information and credentials (as necessary), schedule appropriate meetings to discuss Customer needs and provide any other contacts necessary within Customer&rsquo;s organization.<\/li>\r\n<\/ol>\r\n<ul>\r\n<li>In the event of any delays in the performance of API and SDK Consulting Services caused by Customer, ICE MT may suspend the performance of the API and SDK Consulting Services without liability until Customer complies with this &ldquo;Customer Participation&rdquo; section.<\/li>\r\n<\/ul>\r\n<ol start=\"7\">\r\n<li><strong>Modifications<\/strong>.<\/li>\r\n<\/ol>\r\n<p>We may modify these Terms at any time by posting a revised version on the website or by otherwise notifying you. The modified terms will become effective upon posting or, if we notify you by email, as stated in the email message. By continuing to purchase or use On-Demand Hours after the effective date of any modifications to these Terms, you agree to be bound by the modified terms.
